1. About Imagine AI and WAPulse

Imagine AI is a Dubai-based digital agency that designs, builds, and operates technology products for businesses. WAPulse is our WhatsApp Business marketing and chatbot automation platform, enabling businesses to run bulk marketing campaigns and deploy scripted chatbots through the official WhatsApp Business Cloud API.

By accessing or using WAPulse or any service provided by Imagine AI, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

2. Eligibility

To use WAPulse, you must:

  • Be at least 18 years of age
  • Represent a legally registered business or organization
  • Have the authority to enter into binding agreements on behalf of your business
  • Comply with all applicable laws and regulations in your country or jurisdiction

By using the platform, you confirm that you meet all of the above requirements.

3. Account Registration

When you register for a WAPulse account:

  • You must provide accurate and complete business information
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are fully responsible for all activity that occurs under your account
  • You must notify us immediately at hello@imagineai.ae if you suspect unauthorized access to your account
  • We reserve the right to refuse service or terminate accounts at our discretion

4. WhatsApp Business Compliance

WAPulse operates through Meta’s official WhatsApp Business Cloud API. By using our platform, you agree to:

  • Comply with Meta’s WhatsApp Business Policy at all times
  • Comply with Meta’s Commerce Policy where applicable
  • Only send messages to contacts who have explicitly opted in to receive WhatsApp communications from your business
  • Include a clear and functional opt-out mechanism in all marketing messages
  • Not use the platform to send messages to purchased, rented, or scraped contact lists
  • Submit only truthful and compliant message templates for Meta’s review and approval
  • Accept that Meta has the right to reject templates, suspend phone numbers, or disable WhatsApp Business Accounts for policy violations

Imagine AI is not responsible for any action taken by Meta against your WhatsApp Business Account, including suspension or permanent bans.

5. Prohibited Uses

You may not use WAPulse to:

  • Send spam, unsolicited bulk messages, or messages to non-opted-in contacts
  • Distribute content that is illegal, harmful, threatening, abusive, defamatory, or obscene
  • Promote illegal products or services, including but not limited to narcotics, counterfeit goods, or unlicensed financial services
  • Impersonate any individual, business, or organization
  • Conduct phishing attacks, fraud, or any form of deception
  • Violate intellectual property rights of any third party
  • Attempt to reverse-engineer, hack, or compromise the security of the platform
  • Resell or sublicense access to WAPulse without prior written consent from Imagine AI
  • Use the platform in any way that violates applicable UAE or international laws

Violation of any of the above may result in immediate account suspension without refund.

6. Message Templates and Content

  • All outbound marketing messages on WhatsApp require pre-approved templates from Meta
  • You are solely responsible for the accuracy, legality, and appropriateness of all content submitted for template approval
  • Imagine AI does not review or endorse the content of your message templates
  • We reserve the right to refuse service if template content violates our policies or Meta’s guidelines

7. Subscription Plans and Billing

  • WAPulse is offered under subscription plans with defined message quotas, feature limits, and billing cycles
  • Subscription fees are billed monthly or annually depending on your selected plan
  • All fees are displayed in AED (UAE Dirhams) unless otherwise stated
  • Payments are processed securely through our payment partners
  • Subscriptions automatically renew unless cancelled before the renewal date
  • Fees are non-refundable except where required by applicable law
  • We reserve the right to modify pricing with 30 days’ advance notice
  • Accounts with overdue payments may be suspended until payment is received

8. Message Quotas and Fair Use

  • Each subscription plan includes a monthly message quota
  • Unused messages do not roll over to the following month
  • Exceeding your quota will result in campaign suspension until the next billing cycle or a quota upgrade
  • We reserve the right to throttle or limit usage if platform abuse is detected

9. Intellectual Property

  • All platform features, designs, code, and content of WAPulse are the exclusive property of Imagine AI
  • You retain ownership of all content, contact data, and message templates you create within the platform
  • By using WAPulse, you grant Imagine AI a limited license to process your content solely for the purpose of delivering our services
  • You may not copy, reproduce, or create derivative works of WAPulse without our written permission

10. Data Privacy

Your use of WAPulse is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the data practices described in our Privacy Policy.

11. Availability and Uptime

  • We strive to maintain high availability of the WAPulse platform but do not guarantee 100% uptime
  • Scheduled maintenance will be communicated in advance where possible
  • We are not liable for downtime caused by Meta’s WhatsApp API, third-party infrastructure, or events beyond our control

12. Limitation of Liability

To the maximum extent permitted by applicable law, Imagine AI shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of revenue, profits, or business opportunities
  • Message delivery failures due to Meta’s WhatsApp API or network issues
  • Data loss due to circumstances beyond our reasonable control
  • WhatsApp account suspensions or bans imposed by Meta
  • Any damages exceeding the total fees paid by you to Imagine AI in the 3 months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless Imagine AI, its directors, employees, and partners from any claims, damages, losses, or expenses, including legal fees, arising from:

  • Your use of WAPulse in violation of these Terms
  • Your violation of Meta’s WhatsApp Business Policy
  • Any content sent through your account
  • Your infringement of any third-party rights

14. Termination

  • You may cancel your account at any time from your account settings
  • We may suspend or terminate your account immediately if you violate these Terms, WhatsApp’s policies, or any applicable law
  • Upon termination, your access to the platform ceases immediately
  • Data deletion will follow the process outlined in our Privacy Policy

15. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify you of significant changes via email or platform notification. Your continued use of WAPulse after the effective date of updated Terms constitutes your acceptance.

16. Governing Law and Disputes

  • These Terms are governed by the laws of the United Arab Emirates
  • Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE
